These are the Rational and Reasons why the 1128 EGM are Illegal

The 1128 EGM Resolutions

The 1128 EGM be convened to consider and pass the following two resolutions :

1. That fresh elections be held to elect a new central committee for the MCA within 30 days from the adoption of this resolution .

2. That all appointments , terminations or pledges made after 10.10.09 EGM by YB Datuk Ong Tee Keat in his capacity as President of MCA be nullified .

Reasons why these resolutions and the EGM are illegal as they contravene the Party Constitution are as follows :

On Resolution 1

1. The Central Committee members ( party officials ) are elected to serve for a period of three years ( Article 167 )

2. Fresh Party election can only be held if 2/3 or more of the elected Central Committee members ceased to be members ( eg resignation en-bloc) ( Article 41)

3. Dismissal of 2/3 or more of the elected CC members ( Article 35 ) by the General Assembly and causing a fresh election to be held pursuant to Article 41 .

In other words without dismissing 2/3 or more of the elected CC and in the absence of resignation en-bloc the present CC shall serve for a period of three (3) years .

In the absence of resignation en-bloc , a proper resolution to dismiss the existing CC should have been proposed in the 1128 EGM as a prerequisite to any purported fresh party election . The attempt to elect new Central Committee without first dismissing the present CC members contravenes the Party Constitution .

Article 27 of the Party Constitution provides that the ultimate authority of the Party is vested in the General Assembly . Such ultimate authority is subject to the specific provisions of the Party Constitution .

Since the Party's Constitution has provided express specific provisions in relation to Party election any attempt for fresh Party elections must comply with the specific provisions ( Article 35 , 41 ,167 ) of the Party Constitution . Any attempt to by pass the Party Constitution to achieve the proposed fresh Party election objective is therefore unconstitutional and unenforceable .

On Resolution 2 .

1. Article 38.11 and Article 166 of the Party Constitution expressly provides power to the President to appoint Central Committee members and to terminate such appointments .

2. Resolution 2 seeks to deny the power of the President to appoint and to terminate such appointments cannot hold without first amending Article 38.11 and Article 166 . . Such attempt is unconstitutional and unenforceable .

It is therefore the 1128 EGM is ruled illegal as it does not conform to the requirements as provided for by the Party Constitution . And proceeding with this EGM is deemed UNCONSTITUTIONAL . Period:)

Even UMNO cannot force MCA and the President , the Deputy President to accept their proposals as it is deemed unconstitutional and MCA can be deregistered by the ROS if it were to go ahead with the fresh elections even with UMNO's proposal , let alone by the group of renegade , mutinous conspirators .

So my call for fresh elections will also deem ridiculous and looks like I might have to retract my call for it .

  4. You are correct - can't hold EGM without fulfiling the basic requirement of 2/3 of CCM resigning or ore as a whole. This the precondition or used up the 3 year term. How can one has the EGM to decide power of CCM - on what basis - imagine they are the governing body. In fact the 2/3 majirity supported the President - where is the rule giving the CDs to make decision on this and on what basis! So the whole thing goes out the window - the lawyers are twisting the CDs have residue power - but under what circumstances, may I know. Mon

  5. If the EGM is now cancelled lets go ahead with the Unity Plan without referring to them - they are just minority anywhere. Can start the rigorous regime of cleansing perhaps. They deserve it- no backing down. They played with fir so let them have the fire and power play rolling down on them like the Feb7 bush fire/fireball monster of Victoria and turn them to crisp. They can't hide not even cars, cellars and SUVs will save them. I'm waiting for the day. Deathknell

  7. When they announce that they call off the EGM2, their reason is because "they had a consensus of fresh election".
    So LTL & co are holding on to this that they'll insist for a fresh election, but then wht if 2/3 never step down?
    I will tell u, if CSL & OTK doesnt want to have fresh election, LTL can't do anything. haha.

    OTK told the Press in no uncertain term that "any date mentioned for the party election at this time is merely EXPLORATORY"
    (一项测探 ).

    He made it very clear that " the date for the party election shall be determined by the CC members".

    "CC members must first resign en bloc before any election can be called.

    "Whoever announces the date of party election at this (premature) time is tantamount to disrespect for CC and MCA Constitution," he was quoted as saying in malaysiakini.com (Chinese section) at 2.32pm today:

    The EGM has been called off it seems.

    Fresh polls on the way ? I hope to see elections for all levels including the Youth and Wanita wings.

    If those two Chiefs don't want it, let us ask them why not :)

    Whatever it is, we have to prepare to campaign now. Nominations must be secured first and votes must be delivered to keep the good leaders in MCA in office.

    Friends of Tee Keat. Are we ready ? Let's do it collectively my friends ! For MCA, for the Chinese community and for Barisan Nasional.

    The Dec 5 AGM is meant for 2009. So this AGM must be held before Dec 31, 2009:

    "Article 28. The General Assembly shall meet at least once annually.

    Article 29. The Annual Meeting of the General Assembly shall be held
    not later than 31 August in each year unless otherwise
    postponed by the President but such postponement shall
    not be to a date later than 31 December of the year in
    which the annual meeting of the General Assembly is to
    have been held."

    This means that the party election & AGM must be held in December 2009? Not January 2010 as speculated earlier?

    When 2/3 of the CC members resign, say 29th November (this Sundaylah), the election must be held within 30 days i.e. on or before 27 Dec 2009....

  22. Brutus Gang is insane - AGM 1205 will be postponed after concellation of EGM 1128. The cost for EGM has received RM100,000 profit from donation and the AGM1205 has budget RM700,000 to spend. MNZ will announce all the money donated send to Charity Organisations before AGM 1205.

    (2) OTK made it very clear today, any party election must refer to the MCA CC. This means PM/DPM also cannot force MCA to hold any re-election --unless the CC decides so. [AND YOU ALL KNOW WHO CONTROLS THE MAJORITY IN THE CC !]

    A bald farce hits a wall

    LETTER Most people thought BN component parties had headed into cyberspace only after the watershed March 8, 2008 general election, which saw the opposition making unprecedented gains, largely due to the primary and secondary reach of the New Media.

    BN parties were seen leaving the starting mark in the race towards cyber information dominance when Pakatan Rakyat parties were already miles ahead.

    But one party had actually attempted to reach out earlier to the Netizens even before anyone had the faintest idea that March 8 would take place.

    internet-3.jpgBut then, almost no one knew of the effort by one major component of the coalition that took the form of mylivingwall.com because it turned out to be a disaster mired in corruption, scandal and sheer incompetence.

    The idea of a mylivingwall was hatched in 2007 out of one woman’s frustration with her superior.

    This lady, Ms X, was working in the party’s think tank organisation but could not get along with her boss, another Iron Lady, formerly from a certain chamber of commerce.

    Both have a strong character and soon their daily arguments got too much. Ms X decided it was time to part ways.

    But she was not ready to just call it a day in the party without first extracting her pound of flesh from a former and generous party president.

    Door of opportunity

    A window of opportunity presented itself when the former president (FP) appointed AK to head the publicity bureau.

    That's when she sold the idea to FP, through AK, of setting up a portal called mylivingwall.com.

    And AK, being the right-hand man of the deputy president at that time, can just about lead FP to leap off the Petronas Towers, if he wanted to.

    FP was sold to the idea faster than the dotcom bust of the early 2000s.

    But then, Ms X also wanted a good deal for her severance package-cum-platinum-handshake.

    And she had a secret weapon: the then party legal bureau head, TC, with whom she allegedly shared a relationship that went far beyond work.

    The lawyer, who lacks hair on his head, had close ties with FP and helped Ms X draft a contract that made her CEO of Living Wall Sdn Bhd. The party HQ granted her RM800,000 seed money and a monthly retainer fee of RM65,000 for three years. The contract is due to expire in February 2010.

    And faster than a blink of an eye, the party’s venture, to turn over the anti-establishment Netizens, was born in a business arrangement that reeked of high-handedness.

    Hit a wall

    And what of the "portal" itself?

    It remains a one-woman effort to compile bits of information from all over cyberspace.

    No one does interviews with ministers or confronts the FRU during illegal rallies, much less brave the crowds at ceramahs. And FP was banking on this woman to turn things around in the face of seething anger from the urban middle-class Chinese.

    By the time March 8 took place, it was too late. Well, Living Wall, hit a wall, pun intended.

    With its three-year contract expiring soon, Ms X’s fortune does not seem to be all that bright. Neither is the luck of her lover boy who was removed as the party's legal bureau head shortly after a recent EGM for allegedly plotting against the current president.

    Bald TC and Ms X go back a long way and are part of a group of English-speaking activists, in a largely Mandarin-speaking party.

    But, really, the person more worried than the woman about the party not renewing Living Wall's contract is TC.internet-1.jpg

    Lobbying not to be left out

    Having years ago given up his legal practice, from which he made a fortune through the generosity of FP and another former president, he would have no more income if Living Wall tumbles like the Berlin Wall 20 years ago.

    Furthermore, he has been reassigned from being chairman to just an ordinary board member of a popular English daily, which leaves him with one leg at the exit door.

    Of late, TC, who makes no attempt to hide the estranged relations with his wife, is often seen at the office of the party’s treasurer-general in Cheras, lobbying not to be chopped off as a director of the party's investment arm and another party-owned corporation.


    Having loaned RM170,000 to his lover for a new Maserati, TC did not want to be caught deep in debt. Hence, he aggressively pushed for the renewal of Ms X’s lop-sided contract.

    Towards this end, TC even cut a deal with a party vice-president. In return for declaring the EGM illegal, the ‘botak’, as he is also known, will be given the post of deputy chairman in one of the party’s division; a much more glamorous post than being the legal bureau head. On top of that, the Living Wall will continue to stand.

    But as the party leadership impasse drags on, Living Wall, FP’s baby, continues to be stillborn while Pakatan’s blogs have gone far ahead.

    BN parties can lead sites like Living Wall to the sledgehammer, like the Berlin Wall collapse that brought hope and prosperity to Europe.

    Otherwise, the only thing "living" thing insofar as the next general election is concerned, is false hope and illusion.

    The Sec-Gen spoke to the press just now and confirmed that the AGM is on as scheduled....

    This is because he had not received any instruction on the new date for the AGM, which cannot be postponed beyond Dec 31, 2009...UNLESS ROS gives exemption:

    OH MY GAWD !!

    Guys, domain registration and a simple hosting package is less than RM 300 !

    Even if you hire professionals to maintain the site, it still comes to less than RM 8,000 a month !

    OMG !!!

    How can MCA be fleeced like that???

  39. hello, anybody home. The 1128 would have been lega if it is not called off. Resolution 1 and 2 are all legal and meeting the requirement of constitution depending on how you look at it. Pea brained can not see as their view is blocked by "eye-shit".

    The is how it works - if both Resolutions are voted for. Then the instruction is to ask at least if not all CC members to resign en bloc. Period.

    Tee Keat on fresh polls: Only CC decides, nobody else

    "In what can be construed as a 'stern reminder' to all quarters, including Umno, not to meddle in MCA's affairs, president Ong Tee Keat said it is the all-powerful central committee which could decide on holding a fresh elections.

    "Any fresh polls has to be decided by the MCA CC, whose members must first vacate their seats," he told Malaysiakini via SMS.

    "Any time line proposed is merely exploratory. Any announcement of a date for a fresh polls by anybody at this juncture is disrespectful of the CC and party constitution," he added.

    Ong, who is also transport minister, is currently in London attending an international maritime conference.

    The embattled president stressed that it is vital for the CC to make a decision on the fresh polls as it concerns "upholding the party's dignity and constitution."

    "Any proposal on the time line also needs the approval of the CC," he added....

    Dr Chua agrees with Ong

    Ong's deputy Dr Chua Soi Lek echoed his views, adding that the party constitution stipulated that fresh polls can only occur if two-thirds of the central committee resigned.

    He hoped that all party leaders and the central committee member would be able to seriously discuss proposals for fresh polls.

    "I hope that all party leaders, based on their love for the party, would be able to discuss the matter with respect and cooperation to fulfill the central committee's agenda for fresh elections," he said in a statement.

    AGM still on as of now, says sec-gen

    Liow's faction said they believe the party's annual general assembly on Dec 5 would be postponed to accommodate fresh party polls.

    Meanwhile, party secretary-general Wong Foon Meng said the Dec 5 AGM will proceed as planned as no directive for a postponement has been given to him.

    "When the three leaders, Ong, Chua and Liow, come to consensus on the new date, they will give the instruction to the secretariat and we will make the necessary preparation," he said when contacted.

    Asked if the AGM will have to be postponed to next year, he said the party constitution requires the AGM to be held before Dec 31 of each year.

    "If the new date is after Dec 31, we must then consult ROS about the requirement," he added."

  41. 翁诗杰今日针对该党的重选日期表明立场,强调任何重选的日期,必须交由马华中委会本身的成员所定夺。

    他指出,马华中委会成员必须先提出呈辞,才能够举行重选。

    根据马华党章第41条文,若三分二马华中委会成员呈辞, 就必须在30天之内举行重选。

    廖派是在今日宣布翁蔡廖三派已对重选一事达至共识,并声称12月5日代表大会料将展延,以便与重选同步举行。

    建议的重选日期仅是测探

    翁诗杰也指出,任何重选日期的建议仅是一项测探(merely exploratory)。

    他更强调,“任何人选择在此刻宣布重选日子,是对中委会及党章的不尊重。”

    日前出国公干的翁诗杰是在今日透过手机简讯的方式,回应《当今大马》有关重选日期的询问。

    他也坚持,本身要求重选的立场不是新鲜事,自10月15日的中委会以来就始终如一,“但不幸的,这个建议却率先被‘叛徒’所拒绝,复被他们所骑劫”。

    翁诗杰是抨击双十特大之后与他公开决裂的廖派,针对重选的立场反复无常,在10月15日的中委会上“逼宫”不成后,担忧遭到翁蔡尔后宣布的“大团结方案”边缘化,才要求召开1128特大要求重选。

    然而廖派却辩护说,当初他们之所以拒绝翁诗杰所下令召开的第二次特大,是基于后者希望借此特大来确认本身的领导,进而推翻双十特大的议决,若不成功才来举行重选。

    批最终接受重选白忙一场

    另一方面,针对廖派的对外宣布翁蔡廖三方已达致重选日期的共识,目前人在国外的马华总会长翁诗杰似乎却不以为然。

    翁诗杰以短讯回覆道,“现在任何人每天都可以声称任何事。有些人提出这项建议(展延大会并与重选同步进行),但是这必须根据党章进行,而不是根据个人的喜好”。

    《当今大马》是在廖派召开记者会宣布取消特大后,通过手机短讯询问人在伦敦的翁诗杰,是否已经与蔡廖达致共识,同意展延代表大会,并与重选同步进行。

    受询及廖派宣称三方达致重选日期共识,是否真有其事,在慕尤丁斡旋期间皆身在国内的翁诗杰并没直接做出证实,仅回应说,“真是白忙一场,到了现在他们才了解并接受重选的建议,那是我在10月15日的中委会会议上建议的,但是中委会依然需要针对重选做出决定”。

    TS William Cheng the Lion/ACCCIM gave an interview to Sin Chew Daily yestereday, and the story was published in today's newspaper--front page.

    OTK was fired by William "left & right"!

    But he simultaneously praised Ong Ka Ting sky high for doing a good job as the MCA past president, and helping the Chinamen understand govt policies....

    Malaysian Mirror today published a letter from one reader: He pointed out that as the President of the ACCCIM for so many years, what had William done?

    Footnote: I was surprised that a tycoon like William Cheng stooped so low to condemn OTK, all because of the "briefings" by Ka Ting's elder brother, ONG KA HING who is the long-time executive secretary to William....

    After I posted that open letter to William Cheng yesterday, I realized I had wonder just a step too far.

    You see, William Cheng heads the Lion Group and that conglomerate isn't profitable at all.

    Which means, William Cheng has failed, even as the leader of the Lion Group.

    I am pretty sure that because of the failure of William Cheng, a lot of investors of the Lion Group are worse off financially --- the ROI (Return on Investment) on the Lion Group's share (plus the share of its subsidiaries) are really really lousy !

    A person who lives in a glass houses should not throw stones, and in this case, William Cheng himself is the one who started the stone throwing event.

    Last night's 9:30PM NTV7 News William Cheng is still throwing stone.

    He called for a "New MCA President".

    Who the fcuk William Cheng thinks he is, uh?

    William Cheng doesn't have any mirror or what?

    When will William Cheng start to understand that he himself has failed miserably, as a leader?

    A failed leader has no right to critique anyone.

    看到忍无可忍的丹斯里,配合让人忍无可忍的星洲日报,用专访方式,做了让人忍无可忍的攻击。



    到底丹斯里忍无可忍的是什么?是三十天没有到夜总会消遣?还是国内钢铁价多久没有涨升?

    他大大声的问翁诗杰,上台一年做了什么?

    看了他的专访,我忍无可忍的好笑,好笑也想问一问,丹斯里做了那么多年的商联会总会长,他又为华商做了什么?

    他带领华商,做了什么?他领导的时间有多长?长的很,好几届了,但是,他又做了什么?

    这名可以常在夜总会碰到老王子,到底做了什么?

    他在商联会的老臣子执行秘书黄家兴,前几天发表了一篇文告,大大的骂了翁诗杰一顿。黄家兴何许人?黄家定胞兄也。

    如今,钟延森也出手,用忍无可忍一句话,就出手打翁了。

    他是以商联会的名誉说话呢?还是以什么身份说话?

    "MCA will have a new election within 60 days !"

    Or is Sin Chew LYING?

    They even said "OTK, CSL and LTL have all agreed on the re-election".

    Very fishy, man !

    As far as what we learned yesterday, from the posting from Axed Journalist and the one from Malaysiakini (where they got the sms reply straight from OTK's own cellphone) there was no mention of OTK agreeing to any re-election at all !

    My question to all of you is this --- If Sin Chew lies, and they falsely used OTK's name in fabricating their lie, Will OTK take legal action against this despicable newspaper, and its shitface owner?

  50. OTK might not need to make resignation. After call off of EGM1128 , confirming the minority Brutus Gang MAKE USE OF PM & DMP to press MCA TO HOLD SNAP PARTY ELECTION. Brutus gang is GAME OVER and let the majority CCs to make their own verdict when is the best time to make resignation to RESPECT EGM1128/GUP/PM. Since CMF/WKS reluctant to dissolve Wanita & Youth to tally with CCM election and to avoid if part of the CC resignation will give an advantage for Brutus Gang to control over MCA, an conditional resignation should be drafted and adapted.

    EGM 10.10.10 is done and over. It is history. The outcomes have been politically, morally and constitutionally complied. MCA has to move on with the implementation of GUP which it inclusive to unite, heal and serve the Chinese community and the nation.

  55. I am deeply disappointed that a few trouble-makers can hold MCA to random by inviting external forces to direct the future of MCA. How can we have irresponsible leaders who do not respect the wishes of the majority of CC members who agreed on the Unity Plan. How long can we tolerate such insincere leaders who solicit help from outsiders including those involved in the PKFZ deals. I sincere hope that a fresh elections be held to cover all levels from branch to CC levels including both the Youth and Wanita Wings. Then only we can restore democracy in MCA and reflect the true wishes of the MCA members and at the same time weed out these trouble-makers and their cronies.
